Conversations without judges' involvement
Disputes in companies often start with small understatements, which after 7 or 9 months turn into open war. At Forum Sovereignty, we don't wait for lawsuits. We seat the parties at one table in our office on Pileckiego Street in Warsaw. Mediation is not just loose chatter. It is a specific process that we usually close in 3 meetings of 4 hours each. Last year we helped 47 pairs of partners in this way who could not agree on profit sharing or the direction of company development.
Facts matter, not emotions
Usually, the investor and management come to the first meeting. They are often accompanied by a sense of grievance, but we quickly move to numbers. We analyze agreement provisions that stopped working when the company grew from 5 to 18 employees. Our moderator ensures that no one interrupts anyone. We focus on the here and now. If one party believes they put 150,000 PLN more work into the business, we check how to convert that into shares so that both sides feel clear 50/50 rules apply. It can be difficult, but it's the only way to avoid decision-making paralysis in the register.
Quick path to agreement
Solving disputes in court in Poland takes an average of 2.5 years. With us, working out a settlement usually takes from 14 to 22 days. This is a huge saving of time and money. Instead of paying fortunes to lawyers for writing pleadings, partners establish new management regulations or change the company statute. In October 2024, we completed mediation for a Warsaw transport company where a conflict over leasing 12 new cars was blocking the entire activity. After two sessions with us, the company returned to normal work.
We repair the share structure
Often the problem is not bad will, but old errors in papers. At the round table, we bring these errors to the surface. We repair the share structure so that the investor feels safe and the founder has motivation for further work. We don't promise miracles, but we guarantee that both sides will leave with a specific document in hand. Without going to court, without airing dirty laundry in public. This is pure business, based on parity and mutual respect for the capital put in.
What do you receive after the sessions?
The result of our mediation is a written protocol of arrangements and a ready draft of the annex to the articles of association. We prepare everything within 5 business days of the last meeting. The documents are ready for signature at a notary. Thanks to this, our clients, such as the owners of a small printing house in Mokotów, were able to unblock frozen company accounts and pay overdue salaries for 9 people in 11 days. We act quickly because we know that in business every week of delay is a real loss of cash.
